Bylaws of K-12 Korean Language Teachers Association in the USA

Revision made in December 2023

Article I: Name and Nature

Section I: The name of the organization shall be K-12 Korean Language Teachers Association in USA (KLTA).

 

Section II: The organization may at its discretion by a vote of the membership body change its name.

Article II: Purpose

Section I: The purposes of the KLTA (Korean Language Teachers Association in the USA) shall be set forth in the promotion of Korean teachers’ professionalism to globalize the Korean language. 

 

Section II: The organization will maintain fellowship and unity of the Korean language teachers. 

 

Section III: This organization will support in exchanging useful teaching materials and methodology applicable to the Korean language teachers.

Article III: Membership

Section I: Regular members are all the Korean language teachers who are currently teaching and Korean language coordinators with a K-12 teaching credential or certificate to teach in accredited public or private schools in the United States of America. These regular members shall have the voting rights and electoral eligibility.

 

Section II: Associate members are all the non-currently teaching Korean language teachers, Korean language teacher candidates, Korean language professors and administrators. These associate members shall have the voting rights, but shall not have electoral eligibility.

Article IV: Annual Meetings

Section I: The annual meeting of Korean Language Teachers Association shall be held once a year. The President can call other meetings if necessary.

 

Section II: The President shall inform every member the time and the place of such annual meeting with consent of officers.

​Section III: Special meetings of this organization may be called, at least one week in advance, by the President when she/he deems it for the best interest of the organization. Notices of such a meeting shall be notified by telephone, conference call or email to all members.

Article V: Officers

The officers of the organization will comprise one president, two vice presidents, one secretary, and one treasurer.

 

Section I: President

    a. The president shall be elected through the nominated candidates by voting of the regular members of this organization.

    b. The president shall appoint all officers of this organization.

    c. The president must be credentialed and currently teaching in a K-12 classroom. In addition, the president must serve as an               officer for over 2 years.

    d. The president shall preside over at all membership meetings and will take on the responsibility of running and management of           the Association.

    e. The president shall become a member of the Board of Directors, but shall not be appointed as a chairperson of the Board of              Directors.

    f. The president shall appoint all committees recommended by the Board members.

    g. The president shall be present at each general meeting of the organization and report the annual events and plans to the                   members.

    h. The president shall present an annual financial report to the Board of Directors and the members at the annual meeting once a         year.

    i. The president shall sign on the check of an amount over three hundred dollars ($ 300.00) with the treasurer of the organization.

Section II: Vice President (Elementary School Teacher & Secondary School Teacher)

    a. The president shall appoint one vice president among elementary teachers and the other vice president among secondary               teachers.

    b. Two vice presidents shall manage the directory of regular and associate members. The vice presidents shall take charge of              networking of all regular and associate members.

    c. In case of the president’s absence or inability to maintain the organization, the Board of Directors shall appoint the acting                   president between the two vice presidents by majority voting. If necessary, the acting president and the Board of Directors shall         appoint one more vice president.

 

Section III: Secretary

    a. The secretary shall keep the minutes and records of the official or informal meetings and inform all respective members.

    b. The secretary shall assist the president to file any certificate required by any statute, federal or state. The secretary shall be the         official custodian of records and seals of this organization.

 

Section IV: Treasurer

    a. The treasurer shall have the care and custody of all monies belonging to the organization including membership fees and tax           report, and shall assist the president to report the financial records to the Board of Directors.

    b. The treasurer shall be able to sign checks under $300. But both the president and the treasurer shall sign the check if the                amount of the check is over $300.00.

    c. The treasurer shall report each month to the president the amount and the purpose of each check issued.

Article VI: Election

Section I: The election of a president shall proceed through the election committee appointed by the Board of Directors.

 

Section II: The candidate who gets the largest sum shall be elected as the president.

Article VII: Term of Officers

Section I: The president's term of office shall be two years. The president may choose to enter the candidacy for the second term and can be reelected by election.

 

Section II: The tenure of the presidency shall start August 1 of the election year to July 31 of the second year.

 

Section III: The chairperson of the Board of Directors shall appoint an election committee by May 31 to conduct the election process by June 30.

 

Section IV: The election committee shall inform the nomination of the candidates, the election date, the procedure and the result of the election.

 

Section V: The president shall not be a member of the election committee, nor be involved in any election process.

 

Section VI: The president shall complete the succession process to the new president and his/her committee by July 31

Article VIII: Membership Dues

Section I: Regular members and associate members shall pay an annual fee of $30. The amount of membership dues can be decided by a majority voting at the annual meeting.

 

Section II: The membership due will be utilized in the development of the organization.

 

Section III: The membership due is sent to the treasurer at the annual meeting. 

Article IX: Board of Directors

Section I: Rights of the Board of Directors

    a. The past presidents are automatically entitled to serve in the Board of Directors.

    b. The Board of Directors is an important legislative organ of this organization and shall elect the chairperson of the Board of                Directors.

    c. The chairperson’s term will be limited to two years, and is to be elected in December. The chairperson’s term will be from                  January to December of the following year.

    d. The presidents shall attend the annual meetings of the Board of Directors.

    e. The Board of Directors shall appoint the election committee to conduct presidential elections and to support the transition                 process.

    f. The Board of Directors shall appoint one of the vice presidents as the acting president in case of an absence or an inability of            the president to fulfill his/her duties. Then the Board of Directors can appoint another vice president, if needed.

    g. The maximum number of Board of Directors will consist of eleven. The membership dues will be $100 a calendar year at the             annual meeting.

    h. Decision-making shall occur by the majority vote of directors. In case of an absence of a director during an important decision-          making, the vote can be cast by proxy through either the chairperson or the other members of the Board.

    i. Any member of the Board of Directors who dishonors the name of this organization shall be urged to resign with 2⁄3 of the Board        of Directors’ approval, or he/she will be disqualified to be in-service by the decision of the Board.

    j. Failure to attend the board of directors’ meetings at least twice within a year without prior notification or non-payment of board          dues for two consecutive years will result in automatic disqualification of board membership.

Article X: Loss of Membership

Section I: The loss of membership pertains to those who are defamatory against the organization. The majority must vote to terminate membership of the said person, and of that majority two-thirds must agree.

Article XI: Bylaws Revision

Revision of Bylaws must occur when the majority of the regular members or Board of Directors participates in the voting and thereafter, by the two-thirds of its members for approval.

미주초중고한국어교사협의회 정관

제 1 조: 명칭

제 1 항: 본 회는 미주초•중•고한국어교사협의회(KLTA)라 칭한다.

 

제 2 항: 본 회는 회원들의 선거를 통해 협의회의 명칭을 바꿀 수 있다.

제 2 조: 목적

제 1 항: 본 회는 한국어 교육에 헌신하는 미국 내 한국어 교사의 전문성 향상을 도모하고 한국어의 세계화에 일익을 담당한다.

 

제 2 항: 본 회는 교사들의 친목과 화합을 도모한다.

 

제 3 항: 본 회는 한국어 교사들간에 유용한 자료와 교수법을 교환한다.

제 3 조: 회원

제 1 항: 본 회 정회원은 미국의 각 주정부가 인정한 교사자격증을 소지하며 미주 정규 공립학교, charter school 이나 사립학교의 K-12 초•중•고등학교 현직 한국어 교사와 코디네이터로 한다. 정회원은 선거권과 피선거권을 갖는다.

 

제 2 항: 본 회 준회원은 초•중•고등학교에서 한국어를 가르쳤던 전직 한국어 교사 및 한국어 교사가 되려고 하는 예비 교사, 대학 교수, 교육행정가를 대상으로 한다. 준회원은 선거권은 갖되 피선거권을 갖지 않는다.

제 4 조: 총회

제 1 항: 정기 총회는 연 1회로 하고 그 외 모임을 회장이 필요에 따라 소집할 수 있다.

 

제 2 항: 정기 총회의 구체적인 일정은 임원들의 동의 하에 회장이 전 회원에게 공지한다.

 

제 3 항: 본 회의 중요한 문제나 안건이 제기되었을 경우 적어도 1주일전에 회장이 긴급 총회를 소집할 수 있으며, 이 때에는 전화, 화상통화, 또는 이메일 등으로 전회원에게 공지한다.

제 5 조: 임원

본 회 임원은 회장 1 명, 부회장 2 명, 서기 1 명, 회계 1 명으로 한다. 회장 및 임원의 직능은 다음과 같다.

 

제 1 항: 회장

    가. 회장은 선거위원회 주관 하에 회원들의 선거를 통해 선출된다.

    나. 회장은 모든 임원을 임명한다.

    다. 회장은 미국 내의 정식 교사 자격증을 소지한 초.중.고 한국어 현직 교사로 2년 이상 한국어교사협의회에서 임원진으로 활동한 사람으로 한다.

    라. 회장은 모든 사무를 총괄하며 운영을 책임지고 총회에서 의장으로서의 역할을 맡는다.

    마. 회장은 이사회에서 이사로서 활동하지만 이사장으로 선출될 수 없다.

    바. 회장은 모든 위원회를 이사회의 추천을 받아 임명한다.

    사. 회장은 매 총회에 참석하고 연중 사업 및 행사에 대해 보고한다.

    아. 회장은 일년에 한번 재정 결산 보고서를 이사회와 총회에 제출한다.

    자. 회장은 $300.00 이상의 수표 발급시, 회계와 공동으로 사인을 한다.

 

제 2 항: 부회장 (초등학교 교사) 부회장 (중•고등학교 교사)

    가. 부회장은 2 인으로 하되, 초등학교에서 1 인, 중•고등학교에서 1 인을 회장이 임명한다.

    나. 부회장은 정회원과 준회원의 주소 변경 및 정보 소통에 관한 제반업무를 관장한다.

    다. 회장 유고시 2 인의 부회장 중 이사회에서 과반수의 찬성을 얻은 부회장이 회장의 권한을 대행하며 이 경우 회장권한대행과 이사회는 부회장 한            명을 더 임명할 수 있다.
 

제 3 항: 서기

    가. 서기는 모든 회의 내용을 기록해서 회의록을 작성하고 관련 대상에게 공지한다.

    나. 서기는 연방 또는 주정부에 단체를 등록하는 절차를 회장을 도와서 관장하며 본 회에 관한 모든 기록을 관장한다.

 

제 4 항: 회계

    가. 회계는 회비를 포함한 모든 재정 및 세무 관리하고 회계장부를 작성하며 회장이 이사회에 결산보고를 할 수 있도록 돕는다.

    나. 회계는 수표 발급시 $300 미만은 회장의 동의 하에 혼자 사인할 수 있다. 그러나 $300 이상은 회장과 회계 2 인의 사인이 동시에 들어가야 한다.

    다. 회계는 발급한 수표의 총액과 내역을 매달 회장에게 보고한다.

제 6 조: 선거

제 1 항: 회장 선거는 이사회에서 임명한 선거위원회를 통해서 이루어진다.

 

제 2 항: 회장 선출 시, 득표수가 가장 많은 후보가 최종 당선자가 된다.

제 7 조: 임기

제 1 항: 회장의 임기는 2년으로 하며 투표에 의거하여 재선되면 1회에 한하여 연임할 수 있다.

 

제 2 항: 회장의 임기는 선출된 해의 8월 1일부터 만 2년이 되는 해의 7월 31일까지로 한다.

 

제 3 항: 이사회의 이사장은 5월 31일까지 이사회를 소집하여 선거위원회를 발족하고 6월 30일까지 선거를 마칠 수 있도록 필요한 절차를 밟도록 한다.

 

제 4 항: 선거위원회는 후보자 추천 공지, 후보자 공지, 선거 날짜 및 절차 공지, 온라인 선거, 당선자 공지를 순서대로 진행한다.

 

제 5 항: 현 회장은 선거위원회에 참여할 수 없으며 선거 절차에 관여할 수 없다.

 

제 6 항: 선거에 의하여 차기 회장단이 선출되면 회장은 7월 31일까지 인수인계를 완료한다.

제 8 조: 회비

제 1 항: 정회원과 준회원의 연회비는 $30로 정한다. 변경해야 할 경우, 정기 총회에서 투표해서 참석 인원의 과반수 동의 하에 결정한다.

 

제 2 항: 회비는 본 회의 발전을 위한 사업에 사용된다.

 

제 3항: 회비는 총회 때, 회계에게 납부한다.

제 9 조: 이사회

제 1 항: 이사회의 권리

    가. 전임 회장들은 자동적으로 이사회의 이사의 자격이 주어진다.

    나. 이사회는 본 회의 중요한 의결기관으로서 이사장은 이사들 중에서 선출한다.

    다. 이사장의 임기는 2년으로 하되 매년 12월에 선출한다. 이사장의 임기는 1월부터 다음해 12월까지로 한다.

    라. 현 회장은 회장의 자격으로 이사회에 참석할 수 있다.

    마. 이사장은 선거위원회를 구성하고 회장선거에 필요한 제반 업무를 관장하고 현회장단과 차기회장단이 순조로운 인수인계를 할 수 있도록 돕는다.

    바. 이사회는 회장 유고시, 부회장 중 한 명을 회장권한대행으로 임명하고 공석이 된 자리에 부회장 한 명을 임명할 수 있는 권한을 가진다.

    사. 이사회의 정원은 11인으로 한다. 이사비는 1월에서 12월로 년 $100을 총회에서 지불한다. 이사회의는 1년에 2번 정기이사회로 모인다.

    아. 이사회의 모든 의결 방법은 전체 숫자의 과반수 이상의 찬성으로 한다. 중요한 의결 시 이사가 만약 참석을 못 하는 경우 이사장이나 다른 이사에           게 위임을 할 수 있다.

    자. 이사회의 명예를 실추시킨 이사는 이사회의 3분의 2찬성으로 권고사직하거나 자격 상실한다.

    차. 사전의 통보 없이 1년간 2번 이상 이사회에 불참하거나 이사회비를 2년 동안 미납할 경우 자동 자격 상실된다.

제 10 조: 회원 자격 상실

제 1 항: 본회의 명예를 훼손시킨 임원 및 회원은 회원의 과반수가 투표에 참여해서 그 중 3분의 2의 동의를 얻을 시에 제명한다.

제 11 조: 회칙 개정

제 1 항: 총회나 이사회를 통해 제기된 회칙 수정은 회원의 과반수가 투표에 참여해서 그 중 3 분의 2 의 동의를 얻을 시에 회칙을 수정한다.
